この利用規約（以下「本規約」といいます。）は、佐渡市役所 観光振興課（以下「当社」といいます。）が運営する、観光ガイド検索サービス『佐渡市通訳ガイド検索サイト』（以下「本サービス」といいます。）のご利用にあたり、すべてのご利用者様に遵守していただかなければならない事項及び当社とご利用者様との間の権利義務関係が定められています。本サービスをご利用になる方は、本規約をよくお読みください。
第１条 定義
本規約において使用される以下の用語は、各々以下に定める意味を有するものとします。
(1)「ゲスト利用者」とは、本サービスを元にガイドを検索し、直接ガイドに対し問い合わせをするユーザーの事をいいます。
(2)「ガイド利用者」とは、本サービス上にアカウント登録をしているユーザーの事をいいます。
(3)「コンテンツ」とは、当社のサイトおよび本サービスを通じてアクセスすることができる、動画、図画、文章、音声、音楽、ソフトウェア、プログラム、ソースコードその他一切の表現および情報のことをいいます。
(4)「利用契約」とは、第３条第３項に基づき当社と利用者との間で成立する、本規約の諸規定に従った本サービスの利用契約を意味します。
(5)「投稿情報」とは、ガイド利用者が本サービスのサイト上において、本サービスに関連して行ったすべての投稿を意味します。
第２条 適用
１． 本規約は当社と利用者の権利と義務を規定し、本サービスを利用するすべての利用者に適用するものです。本サービスの利用者は、あらかじめ本規約及び別に定める「プライバシーポリシー」に同意したうえで、本サービスを利用するものとします。
第3条 アカウント登録
１． ガイドとして本サービスの利用を希望する人は、本規約に同意したうえで、当社の定める一定の情報（以下「アカウント情報」といいます。）を当社の定める方法で登録し、登録したアカウント情報を使用する事で、本サービスを利用することができるものとします。
２． 登録したメールアドレス宛に、当社から、当社の提供するサービスおよび当社が指定する第三者の提供するサービスに関連する、新機能、更新情報、キャンペーン等の案内のメールを送付することがあり、ガイド利用者はこれに同意するものとします。
３． 以下の項目はアカウント登録拒否および抹消事由となり、同社の判断でアカウント登録の拒否及び抹消を行うことができるものとします。
(1) 本規約に違反するおそれがあると当社が判断した場合、および違反した場合
(2) 当社に提供された登録事項の全部または一部につき虚偽、誤記または記載漏れがあった場合
(3) アカウント情報として登録した氏名が、本名でなかった場合
(4) 過去に本サービスの利用の登録を取り消された者である場合
(5) 未成年者、成年被後見人、被保佐人または被補助人のいずれかであり、法定代理人、後見人、保佐人または補助人の同意等を得ていなかった場合
(6) 同一人物による、複数のアカウント登録が確認された場合、またはその恐れがあると判断した場合
(7) 当社、他の利用者若しくは第三者に損害を生じさせるおそれのある目的若しくは方法で本サービスを利用した、または利用しようとした場合
(8) 手段の如何を問わず、本サービスの運営を妨害した場合
(9) 死亡した場合、または後見開始、保佐開始若しくは補助開始の審判を受けた場合
(10) ６ヶ月以上本サービスの利用がなく、当社からの連絡に対して応答がない場合
(11) その他、当社がガイド利用者としての登録及び登録継続を適当でないと判断した場合
第4条 保証の否認及び免責
１． 当社は、ガイド利用者の情報を掲載し、ガイド人材を必要とするゲスト利用者がガイド利用者に直接問い合わせできるサービスを提供するものであり、取引の成否等その他のサービスを保証するものではありません。
２． 当社は、本サービスの利用がすべての利用者に適用のある法令または業界団体の内部規則等に適合すること、および不具合が生じないことについて、何ら保証するものではありません。
３． 本サービス利用者間の責任のもと取引を行い、取引によって発生したトラブルや損害等は、当事者間で解決するものとし、当社はその責任を一切負いません。
第5条 アカウント情報の管理
１． ガイド利用者は、自己の責任において、アカウント情報を管理および保管するものとし、これを第三者に利用させ、または、貸与、譲渡、名義変更、売買等をしてはならないものとします。
２． アカウント情報の管理不十分、使用上の過誤、第三者の使用等による損害の責任はガイド利用者が負うものとし、当社は一切の責任を負いません。
３． ガイド利用者は、アカウント情報が盗まれたり、第三者に使用されたりしていることが判明した場合には、直ちにその旨を当社に通知するとともに、当社からの指示に従うものとします。
第6条 著作権等
１． コンテンツに関する著作権その他の知的財産権はすべて当社または当社に権利を許諾した第三者に帰属しています。当社はガイド利用者に対し、本サービスを本規約に従って利用するために必要な限度で、コンテンツを利用する権利を付与します。
２． 投稿情報に関する著作権（著作権法第２７条および第２８条に定める権利含むものとする。）については、投稿、発信と同時にその一切が当社に譲渡されるものとし、ガイド利用者は投稿情報についていかなる権利主張も行わないものとします。なお、当社は、ガイド利用者が投稿情報について設定した公開範囲を超えて投稿情報を公開することはありません。
３． ガイド利用者は、投稿情報について、自らが投稿することについての適法な権利を有していること、および投稿情報が第三者の権利を侵害していないことについて、当社に対し表明し、保証するものとします。
第7条 禁止事項
１． 当社は、すべての利用者が以下の各号のいずれかの行為を行った場合、または行うおそれがあると当社が判断した場合は、事前に通知または催告することなく、投稿情報を削除し、または本サービスの一部もしくは全部の提供を停止もしくは中断し、またはアカウント登録を抹消することができるものとします。
(1) 当社、本サービスの他の利用者または第三者の知的財産権、肖像権、プライバシーの権利、名誉、その他の権利または利益を侵害する行為
(2) コンテンツを、本サービスが予定している利用形態を超えて利用（複製、送信、転載、改変などの行為を含む）する行為
(3) 犯罪行為に関連する行為または公序良俗に反する行為
(4) 猥褻な情報または青少年に有害な情報を送信する行為
(5) 面識のない異性との交際を目的とした行為
(6) 法令または当社もしくは利用者が所属する業界団体の内部規則に違反する行為
(7) コンピューター・ウィルスその他の有害なコンピューター・プログラムを含む情報を送信する行為
(8) 当社が定める一定のデータ容量以上のデータを本サービスを通じて送信する行為
(9) 当社による本サービスの運営を妨害するおそれのある行為
(10) 本サービスの他の利用者のアカウント情報を利用するなど、第三者に成りすます行為または自己のアカウント情報を第三者に利用させ、または貸与、譲渡、名義変更、売買等する行為
(11) ソフトウェアを介することにより、または第三者が提供するウェブサイトを介することにより、コンテンツをダウンロードする行為
(12) その他、当社が不適切と判断する行為
２． 前項各号の他、当社の権利・財産やサービス等の保護、または第三者の生命、身体、財産または権利の保護等の目的から必要があると当社が判断した場合には、必要な範囲内で投稿情報を裁判所や警察等の公的機関に開示・提供することができるものとします。
第8条 本サービスの停止等
当社は、以下の各号のいずれかに該当する場合には、ガイド利用者に事前に通知することなく、本サービスの一部または全部の提供を停止または中断することができるものとします。
(1) 本サービス提供のための装置、システムの保守または点検を行う場合
(2) 火災、地震などの自然災害、停電、システム障害等により本サービスの運営が困難な場合
(3) コンピューターや通信回線が事故等により停止した場合
(4) 当社が利用する外部システムが何らかの影響にて停止・不安定な状態に陥った場合
(5) その他、当社が停止または中断が必要であると判断した場合
第9条 本サービスの内容の変更、終了
当社は、当社の都合により、本サービスの内容を変更し、または提供を終了することがあり、当社は、当該変更または終了によりすべての利用者に生じる損害には一切責任を負いません。なお、当社が本サービスの提供を終了する場合、当社は所定の方法によりアカウント情報のあるガイド利用者に事前に通知するものとします。
第１0条 本規約の変更
当社は、当社が必要と判断する場合、本規約の内容を変更できるものとします。当社は、本規約の内容を変更する場合には、当該変更後の内容を事前にアカウント情報のあるガイド利用者に通知または本サービス上に掲載する方法により告知するものとし、通知または告知後、ガイド利用者が本サービスを利用した場合または当社の定める所定の期間内に登録抹消の手続きを取らなかった場合、ガイド利用者は、本規約の変更に同意したものとみなします。
第１1条 退会
ガイド利用者は、当社所定の方法で当社に通知することにより、本サービスから退会し、アカウント登録を抹消することができます。
第１2条 個人情報の取扱い
１． 当社による利用者の個人情報の取扱いについては、別途当社「プライバシーポリシー」の定めによるものとし、利用者はこのプライバシーポリシーに従って当社が個人情報を取り扱うことについて同意するものとします。
２． 当社は、利用者が当社に提供した情報、データ等を、個人を特定できない形での統計的な情報として、当社の裁量で、サービス向上、改良、開発等の目的で利用および公開することができるものとし、利用者はこれに異議を唱えないものとします。
第１3条 地位の譲渡等
１． ガイド利用者は、本規約上の地位または本規約に基づく権利もしくは義務につき、第三者に対し、譲渡、移転、担保設定、その他の処分をすることはできません。
２． 当社は本サービスにかかる事業を他社に譲渡した場合には、当該事業譲渡に伴い本規約上の地位、本規約に基づく権利および義務並びにガイド利用者の登録事項その他の情報を当該事業譲渡の譲り受け人に譲渡することができるものとし、ガイド利用者は、かかる譲渡につきあらかじめ同意したものとします。なお、本項に定める事業譲渡には、会社分割その他事業が移転するあらゆる場合を含むものとします。
第１4条 分離可能性
１． 本規約のいずれかの条項又はその一部が管轄権のある裁判所により無効である旨判断された場合には、かかる条項は、法律が許容する限りで、本来の条項の趣旨を最大限実現するように変更または解釈されるものとし、また、本規約のその他の条項の効力には何ら影響せず、他の規定は有効に存続するものとします。
２． 本規約のいずれかの条項又はその一部が、ある利用者との関係で無効又は執行不能と判断された場合であっても、他の利用者との関係における有効性などには影響を及ぼさないものとします。
第１5条 準拠法および合意管轄
１． 本規約の正文は日本語版とし、準拠法は日本法とします。
２． 本規約または本サービスに関して紛争が生じた場合、高松新潟地方裁判所 佐渡支部を第一審の専属的合意管轄裁判所とします。

This Terms & Conditions (the "Terms") sets out the articles that all users must comply with, and the rights and obligations between Sado Tourism Association (referred to in this document as "Sado Tourism Association”, "we" "our" or "us") and users, in relation to their use of the travel guide and search service website that we manage, the “Sado Tour Guide Directory” (referred to in this document as “our service”). Those who use our service, please read these terms carefully.
Article 1. Definitions
The following terms used in these Terms shall have the meanings specified below.
(1) "Guest user" means a website user who uses our service to search for Guides and make direct inquiries to Guides.
(2) "Guide user" means a website user who registers an account on this service.
(3) "Content" means movies, drawings, texts, sounds, music, software, programs, source code and any other expressions and information that can be accessed through our website and our service.
(4) "Usage agreement" means the contract between website users and Sado Tourism Association regarding the use of our service in accordance to the provisions of these Terms, pursuant to law Article 3, Paragraph 3.
(5) "Post information" means all posts related to our service, made on the website of our service by Guide users.
Article 2. Applicability
１． These Terms stipulate the rights and obligations of Sado Tourism Association and users, and applies to all individuals and/or entities who use our service. By using our services, you are indicating your acceptance to be bound by these Terms as well as our Privacy Policy (laid out separately).
Article 3. Account Registration
１． Those who wish to use our service as a Guide can use our service by agreeing to these Terms and registering certain information specified by the Company (hereinafter referred to as "account information") in the manner prescribed by the Company, and then utilizing the account information with which they registered.
２． By registering, Guide users agree to receive informational emails from us to their registered email address, regarding new functions, update information, campaign, etc. related to services provided by Sado Tourism Association and third-party services designated by Sado Tourism Association.
３． We reserve the right to refuse or terminate account registrations at our discretion for any the reasons described in the items below.
(1) If we determine that there is a violation or risk of violation of these Terms
(2) In the case that the registration information provided to us is found in full or part to be false, contain inaccuracies, or contain omissions
(3) In the case that the full name registered in the account information is not the user’s true name
(4) In the case that the user’s registration has previously been terminated from our service
(5) In the case that the user is either a minor, an adult ward, a person subject to a curatorship, or person subject to a limited guardianship, and has not obtained consent from a legal representative, guardian, curator, or limited guardian
(6) In the case that we confirm that there are multiple account registrations by the same person, or in the case that we determine that there is such a concern
(7) In the case of using or attempting to use this service in a purpose or manner that could cause damage to us, other users, or third parties
(8) In the case of interfering with the operation of this service, regardless of the means
(9) In the case of death, the commencement of guardianship or curatorship, or court judgment to commence assistance
(10) In the case that our service has not been used for more than six months, and we receive no response to our communications
(11) In the case that we determine that the registration or continuance of an account as a Guide user is not appropriate
Article 4. Disclaimers of Warranty
１． We provide our service, which publishes Guide users’ information and allows Guest users looking for Guides to make direct inquiries to Guides. We do not guarantee other services, such as the outcomes of transactions.
２． We make no warranty as to whether the use of this service complies with laws and regulations applicable for all users, complies with internal regulations of industry organizations, or that our service is provided free of defect.
３． We disclaim all responsibility for disputes or damages arising from transactions between users of our service. Users of our service agree to assume responsibility for conducting transactions and resolving disputes, damages, etc. between the involved parties.
Article 5. Management of Account Information
１． Guide users are responsible for maintaining the confidentiality of their account information, and shall not let third parties use it, nor lend, transfer, change the name, buy and sell it, etc.
２． Guide users agree to accept responsibility for damages caused by inadequate management of account information, errors in usage, use by third parties, etc. We disclaim any such responsibility.
３． If a guide user finds that their account information has been stolen or used by a third party, the guide user shall immediately notify Sado Tourism Association and follow instructions we provide.
Article 6. Intellectual Property and Copyright
１． All copyrights and other intellectual property rights relating to Content are attributed to us or to third parties who granted rights to us. We grant Guide users the right to use the Content to the extent necessary for using our service in accordance with our Terms.
２． The copyrights for post information (including the rights specified in Articles 27 and 28 of the Japanese Copyright Act), shall be transferred to Sado Tourism Association at the moment of posting and submitting, and the Guide user agrees to claim no rights relating to post information. We will not publish post information beyond the scope of disclosure set by the Guide user for post information.
３． Guide users agree that they own the legal rights to any post information that they post, and that the post information will not violate any right of a third party.
Article 7. Prohibited Material
１． We reserve the right to delete post information, suspend or interrupt our service, or terminate a user’s account without advance notice or notification if a user has engaged in any of the actions listed below or if we determine there is a risk of doing so.
(1) Acts that infringe on the intellectual property rights, publicity rights, privacy rights, reputation, or other rights or interests of Sado Tourism Association, other users of our service, or third parties
(2) Acts of using the Content beyond the forms of usage expected for our service (including acts such as copying, sending, reprinting, modifying, etc.)
(3) Acts related to criminal acts or acts contrary to public order and morals
(4) Acts of transmitting obscene information or information harmful to adolescents
(5) Acts seeking companionship with unacquainted persons of the opposite sex
(6) Acts that violate laws or regulations, or internal rules of industry organizations to which Sado Tourism Association or users belong
(7) Acts of sending information such as computer viruses and other harmful computer programs
(8) Acts of sending data through our service beyond the capacity limit we set
(9) Acts that may interfere with our management of our Service
(10) Acts of impersonating a third party, such as using the account information of other users of our service, or acts such as allowing the usage, lending, transferring, name change, buying or selling, etc. of your account information to a third party
(11) Acts of downloading Content through software or third-party websites
(12) Other acts that we deem inappropriate
２． In addition to the items listed in the preceding paragraph, we reserve the right to disclose any post information to public agencies such as courts and police within the extent necessary, if we deem that it is necessary for the purpose of protecting our rights, property, services, etc., or protecting the life, body, property or rights of a third party.
Article 8. Suspension of our Service, etc.
We reserve the right to suspend or interrupt the provision of some or all of our service without advance notice to a Guide user in any of the following instances.
(1) When maintaining or inspecting the equipment and systems for providing our service
(2) When it is difficult to operate our service due to system failures, power outages, natural disasters such as fires or earthquakes, etc.
(3) When computer or communication lines are interrupted due to an accident or similar
(4) When external systems we use fall into a state of stoppage or instability due to some influence
(5) If we determine that suspension or interruption is necessary
Article 9. Modification or Discontinuation of our Service
We may modify or discontinue our service at any time depending on the circumstances of our company. You agree that we shall not be liable for any damage caused to all users due to such modification or discontinuation. In the event that we discontinue our service, we will give advance notice via a predetermined method to Guide users for whom we have account information.
Article 10. Amendments to these Terms
Sado Tourism Association reserves the right to make changes to these Terms & Conditions at any time we deem it necessary. In the case of amending these Terms, we will give advance notice to the Guide users for whom we have account information by notifying them or announcing it on our service. If the Guide user continues to use our service after the notification or announcement, or they do not act to have their account deleted within the time period we set, then it will be considered as indication of acceptance of the new Terms.
Article 11. Withdrawal
Guide users can withdraw from our service and cancel their account registration by notifying Sado Tourism Association in the method we prescribe.
Article 12. Handling of Personal Information
１． How we handle personal information is described separately in our "Privacy Policy.” Use of our service indicates agreement to our handling of personal information in accordance with our Privacy Policy.
２． Users shall not object to the use or disclosure, at our discretion, of information, data, etc. provided by users to Sado Tourism Association, which will be in the form of statistical information that cannot identify individuals, for the purpose of advancing, improving, or developing our service.
Article 13. Transfer of Status, etc.
１． Guide users cannot transfer, move, set as collateral, or otherwise dispose of their status in regards to these Terms or the rights or obligations based on these Terms to third parties.
２． Guide users agree in advance that in the event that we transfer the business pertaining to our service to another company, Guide users’ status in relation to the Terms, their rights and obligations based on the Terms, and information such as Guide users’ registration data may also be transferred to the receiving company. Furthermore, the business transfer stipulated in this paragraph shall include all cases where Sado Tourism Association is divided or other such transfers of business.
Article 14. Separability of Clauses
１． In the event that any article or part thereof of these Terms is judged invalid by a court having jurisdiction, the article in question shall be amended or interpreted in order to actualize its original intent to the extent that the law permits; and there shall be no effect on the validity of the other articles in these Terms, so the other provisions will remain in effect.
２． Even in the event that any article or part thereof of these Terms is determined to be invalid or unenforceable in relation to a specific user, the validity in relation to other users shall not be affected.
Article 15. Governing Law
１． The authentic text of these Terms & Conditions is the Japanese version and the governing law is Japanese law.
２． In the event of a dispute with regard to these Terms or our service, the Niigata District Court shall have the exclusive jurisdiction of the first trial.
